SKW - Corporate Governance

The term “Corporate Governance” represents corporate leadership and control based on responsible and sustainable value added.

Efficient cooperation between Board of Management and Supervisory Board, clear rules, orientation towards shareholders’ interests as well as openness and transparency in corporate communications are significant aspects of sound Corporate Governance. 

SKW Stahl-Metallurgie Holding AG began with its IPO in business year 2006, to orient itself along the guidelines of § 161 AktG and understands Corporate Governance as a process which is continuously developed and improved. It includes transparency re managers' transactions and shareholder structure. Board of Management and Supervisory Board are obliged to declare annually that the recommendations of the German Government Commission “Deutscher Corporate Governance Kodex” have been and are complied with, respectively which recommendations were or are not applied (§ 161 AktG).
